Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Lumisheets subscription service (the "Service"), operated by Lumisheets ("Lumisheets," "we," "us," or "our"). By subscribing to, accessing, or using the Service, you ("Subscriber" or "you") agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

1. The Service

Lumisheets provides a curated library containing information about high school programs, awards, competitions, and scholarships relevant to selective university applications (collectively, the "Content"). Subscribers access the Content through an authenticated online library hosted on the Lumisheets website, refreshed monthly. Access is provided through your web browser; there is nothing to download or install.

The Service is intended for use by working educational consultants and admissions professionals as a professional research resource.

2. Subscription and Payment

  • Subscriptions are offered on a monthly or annual basis, billed in advance via our payment processor, at the subscription rate then in effect as shown at checkout.
  • Subscriptions renew automatically — monthly or annually, according to the plan you selected — unless cancelled before the renewal date.
  • We may change subscription pricing on a prospective basis. We will give notice of any price change before it takes effect, and your continued use after the change takes effect constitutes acceptance.
  • You may cancel at any time by emailing us; access continues until the end of the current paid period.

3. Cancellation and Refunds

You may cancel your subscription at any time by emailing us at hello@lumisheets.net. Upon cancellation, your subscription will not renew, and your access continues through the end of your current paid period.

Except where required by applicable law, subscription fees are non-refundable. Cancellation stops future charges; it does not retroactively refund the current period.

4. License

Subject to your continued compliance with these Terms and timely payment of applicable fees, Lumisheets grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Content solely for your own internal use as a working educational consultant.

Each subscription grants access to one individual consultant. Team or multi-seat licenses must be arranged separately. Sharing your account, login credentials, access links, or copies of the Content with any third party who is not a paying Subscriber is a material breach of these Terms.

5. Restrictions

You agree NOT to, and not to authorize, permit, or enable any third party to:

  • (a) Redistribution: Share, sublicense, redistribute, publish, sell, lease, lend, or otherwise make the Content available to any third party who is not a paying Subscriber of Lumisheets.
  • (b) Automated extraction: Use any automated means — including but not limited to bots, scrapers, crawlers, scripts, browser extensions, headless browsers, or similar tools — to access, copy, extract, download in bulk, or index any portion of the Content.
  • (c) AI training and machine learning: Use the Content, in whole or in part, to train, develop, fine-tune, evaluate, benchmark, or improve any artificial intelligence model, machine learning system, large language model, neural network, embedding model, retrieval-augmented generation system, or similar technology, whether for commercial or non-commercial purposes. This restriction applies regardless of whether the resulting model is made available publicly, privately, or internally.
  • (d) Competing products: Use the Content, in whole or in part, to create, populate, augment, enhance, or maintain any competing database, directory, search tool, research product, or comparable resource, whether for sale, free distribution, or internal use by another organization.
  • (e) Tracking and watermarks: Remove, obscure, alter, or attempt to defeat any proprietary notices, copyright markings, watermarks, or per-subscriber tracking identifiers embedded in the Content.
  • (f) Reverse engineering: Reverse engineer or attempt to derive the methodology, tiering logic, eligibility-tagging system, or underlying editorial judgments of the Content for purposes inconsistent with these Terms.
  • (g) Unlawful use: Use the Service in violation of any applicable law, regulation, or third-party right.

Violation of any of the foregoing restrictions constitutes a material breach of these Terms and grounds for immediate termination of your access without refund, in addition to any other remedies available to Lumisheets at law or in equity.

6. Intellectual Property

The Content is the original work of Lumisheets and its co-founders, including without limitation the selection of entries, the tiering and selectivity ratings, the eligibility-tagging system, the consultant notes and strategic context, the categorical organization, and the overall compilation.

Lumisheets retains all right, title, and interest in and to the Content, including all copyrights, database rights, and other intellectual property rights therein. Nothing in these Terms transfers or grants you any ownership interest in the Content.

Individual factual data points within the Content (such as program names, publicly listed application URLs, and publicly stated eligibility criteria) are not themselves claimed as proprietary. However, the curated selection, tiering, organization, annotations, and compilation as a whole are protected as a creative compilation under applicable copyright and database protection law.

7. Per-Subscriber Tracking

You acknowledge and agree that Lumisheets may embed unique, per-subscriber identifiers within the Content delivered to you for the purpose of source-tracing in the event of unauthorized redistribution or other breach of these Terms. Such identifiers may take the form of imperceptible variations in data, formatting, ordering, or other markers. You agree not to attempt to identify, remove, or obfuscate such identifiers.

8. Updates and Modifications to Content

Lumisheets refreshes the Content on approximately a monthly cadence, including URL verification, deadline updates, eligibility-flag corrections, and the addition of new entries. Lumisheets makes no guarantee that any specific entry, program, award, or category will remain in the Content; we may add, modify, retire, or remove entries in our sole discretion based on changes in the underlying programs or our editorial judgment.

9. Accuracy and Disclaimer of Warranties

THE CONTENT AND SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE," FOR INFORMATIONAL AND PROFESSIONAL RESEARCH PURPOSES ONLY.

While Lumisheets makes commercially reasonable efforts to verify accuracy — including monthly URL audits and deadline refreshes — application deadlines, eligibility requirements, program availability, costs, and contact information may change between updates. You are solely responsible for confirming current details directly with each program before advising students or families or making consequential recommendations.

LUMISHEETS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, OR UNINTERRUPTED AVAILABILITY OF THE SERVICE.

10. Termination

Lumisheets may suspend or terminate your access immediately and without refund for material breach of these Terms, including without limitation any violation of Section 5 (Restrictions).

You may terminate by cancelling your subscription at any time, in which case access continues through the end of the current paid period and no further charges will be made.

Upon termination for breach, you must immediately cease all use of the Content, delete any local copies in your possession or under your control, and certify such deletion in writing if requested by Lumisheets. Sections 5, 6, 7, 11, 12, and 14 survive termination.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LUMISHEETS'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO LUMISHEETS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
IN NO EVENT SHALL LUMISHEETS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST BUSINESS, LOST DATA, ADMISSIONS OUTCOMES, OR REPUTATIONAL HARM — REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED AND EVEN IF LUMISHEETS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Indemnification

You agree to defend, indemnify, and hold harmless Lumisheets, its co-founders, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • (a) Your breach of these Terms;
  • (b) Your use of the Content in violation of these Terms;
  • (c) Any redistribution, scraping, AI training, or competing-product development conducted by you or on your behalf using the Content; or
  • (d) Your provision of consulting services to third parties, including any reliance by your clients on the Content.

13. Changes to These Terms

Lumisheets may update these Terms from time to time. Material changes will be communicated by email to active Subscribers at least thirty (30) days before taking effect. Your continued use of the Service after the effective date of revised Terms constitutes acceptance of the changes. If you do not agree to revised Terms, your sole remedy is to cancel your subscription.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict-of-laws principles.

Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures, by a single arbitrator. The seat of arbitration shall be Cheyenne, Wyoming, and the language of the arbitration shall be English. Where feasible, the arbitration shall be conducted on the basis of written submissions, without the need for an in-person hearing.

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in the state or federal courts located in Wyoming to prevent or stop a breach of Section 5 (Restrictions) or Section 6 (Intellectual Property). You and Lumisheets each consent to the exclusive jurisdiction of such courts for that limited purpose.

15. Miscellaneous

Entire Agreement: These Terms, together with any documents expressly incorporated by reference, constitute the entire agreement between you and Lumisheets regarding the Service.

Severability: If any provision is held unenforceable, the remaining provisions remain in full force.

No waiver: Failure by Lumisheets to enforce any right is not a waiver of that right.

Assignment: You may not assign these Terms without our prior written consent. Lumisheets may assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets.
